A former director of Baldwins Travel and two fellow shareholders of its parent company have been handed 22-month jail terms.

Jack Mason, Dave Antrobus and Scott Dylan were sentenced in the High Court yesterday for contempt.

Mason, a director of Baldwins Travel until last December, was sentenced in his absence after failing to attend the hearing.

He is currently living in Spain and the judge ordered him to be arrested and committed to prison on his return to the UK.

He will face separate contempt proceedings for breaching undertakings he gave to attend the sentencing hearing after being allowed to keep his passport.

Antrobus also failed to travel to the hearing from Ireland, where he is now living, and the judge also ordered his arrest and committal to prison.

At an earlier hearing in July, both Mason and Antrobus were found guilty of contempt of court after shifting ownership of Inc & Co and its assets to offshore companies, in breach of various freezing orders.

The freezing orders had been taken out by Barclays in 2021 to try to recover more than £13.7 million of borrowing by Inc&Co, which the bank alleged were unauthorised.

The assets included Inc Travel Group, which owned Baldwins Travel.

Dylan was the only one of the three to plead guilty at the earlier hearing, and, in sentencing, Justice Rajah said he was the ‘main implementer’ of the plan to transfer Inc & Co’s assets.

He said all three would be entitled to unconditional release after 11 months of their sentences, and said remission of up to 12 months in the full sentences may be applied in the event of the transfer of all the assets back to the jurisdiction of the Court.

The judge placed an interim order for Mason, Antrobus and Dylan to pay 60% of Barclay’s claim of £1.5m in legal costs.

In a LinkedIn post earlier this month, Mason announced his resignation as CEO of Inc & Co, saying: “After 5 years, I’ve made the decision to step down as Group CEO and to leave Inc & Co, the company I had the privilege to co-found.

“Building and leading Inc & Co has been one of the most rewarding, but also the most challenging experiences of my life. From the early days of inception to seeing it grow into a diverse Group of businesses, I’ve been continually inspired by the passion and dedication of our people.

“I’m looking forward to the next chapter of my life, whatever that may bring. Right now, I’m having a long rest until the time is right to explore new opportunities and ventures.”

In a statement issued following the initial contempt of court hearing, Baldwins Travel said: “This does not affect the day to day running of Baldwins Travel. Since December 2023, Jack Mason, Dave Antrobus and Scott Dylan are not involved or have any dealings with Baldwins.”
